Terms of Service
These Terms of Service (the "Terms") are a legal agreement between you and Orygn LLC, a Texas limited liability company that operates GradeSlate ("GradeSlate," "we," "us," or "our"). They cover the GradeSlate website at gradeslate.com and the GradeSlate Discord server.
GradeSlate is an information and analysis service. It is not a sportsbook. We do not accept, place, or settle bets, we do not hold your money, and we do not pay out winnings. Section 3 explains this in full.
GradeSlate is currently a free beta. There is no charge, no card, and no subscription. If that changes, these Terms will change with it and you will be told before it does. Section 4 explains what beta means for you.
01Agreement to These Terms
You agree to these Terms when you accept them in our Discord server, which you are asked to do before you can see the picks. Joining the server, accepting the server rules, or using anything we publish also means you accept these Terms.
Simply reading gradeslate.com does not, by itself, put you under an agreement with us. We say that plainly because it is true: the website has no account, no form, and nothing to sign.
If you do not agree to these Terms, do not join the server and do not use the picks. These Terms include an agreement to resolve disputes by individual arbitration and a waiver of class actions, in Section 15. You can opt out of that within 30 days.
02Who Can Use GradeSlate
You must be at least 18 years old to use GradeSlate, and at least 21 if that is the minimum age for sports wagering where you live. By using GradeSlate you represent that you meet that age requirement.
You must also be old enough to use Discord, which sets its own minimum age and enforces it under its own terms.
We do not verify anyone's age, and we are not able to. If we learn that someone under the required age is in the server, we will remove them and delete what we can. If you believe a minor is using GradeSlate, tell us at legal@gradeslate.com and we will act on it.
Sports wagering is not legal everywhere and the rules differ by state and country. You are responsible for knowing the law where you are. Nothing we publish is an invitation to break it.
03What GradeSlate Is, and What It Is Not
GradeSlate publishes opinions and analysis about sports player prop markets. A published pick is a view about a line, together with the reasoning behind it.
What we are not:
- We are not a sportsbook or a gambling operator. We do not accept wagers, hold stakes, settle bets, or pay winnings. Any bet you place is placed by you, with a third party, under that third party's terms.
- We are not your advisor. Nothing we publish is financial, investment, legal, tax or professional advice, and no relationship of trust or advice is created by your using GradeSlate.
- We do not guarantee outcomes. No pick is a prediction of what will happen. Sports are uncertain and betting markets are competitive. You can lose money following anything we publish.
- We do not tell you how much to bet. We publish a pick, a line and a price. Stake sizing and bankroll decisions are yours alone.
- We are not affiliated with any sportsbook, and not with any league, team, or player. We reference sportsbook prices as market information. Team, league and player names are used only to identify the subject of a market.
04This Is a Beta, and It Is Free
GradeSlate is in open beta. That means it is free, it is incomplete, and it is changing. We may add sports, remove sports, pause a sport, change how picks are selected, change how often they are posted, or stop posting entirely, at any time and without notice.
There is currently no paid plan. We do not charge you, we do not ask for a card, and there is nothing to cancel. If we introduce a paid tier, we will publish updated Terms covering price, billing and cancellation before anyone is charged, and being in the free beta will never convert you into a paying member by itself.
Because it is a beta, expect gaps: missed days, late boards, and mistakes. We fix what we find, and we do not delete results that went badly.
05GradeSlate Is Delivered Through Discord
The picks are posted in a Discord server that we operate. Discord is a separate company and a separate service. Your use of Discord is governed by Discord's own terms and privacy policy, not by ours, and we do not control Discord, its availability, its moderation, or what it does with your information.
We can remove you from our server at any time, for any reason, including for breaking the rules in Section 6. Discord can also suspend or remove you, or remove our server entirely, on its own terms and outside our control.
Our privacy policy explains what we can see about you as the operator of that server.
06Acceptable Use
You agree not to:
- Republish, resell, syndicate, or redistribute our picks or written analysis, in whole or in part, whether or not you charge for it.
- Scrape, harvest, or bulk-export our content, or use automated means to access the server or the site.
- Use GradeSlate to run a betting pool, take bets from other members, broker wagers, or otherwise arrange gambling between people in the server. This one matters: it is against Discord's rules as well as ours and it puts the whole server at risk.
- Post another person's private information, harass anyone, or post unlawful, hateful or sexually explicit material.
- Impersonate GradeSlate, imply that you speak for us, or claim a pick came from us when it did not.
- Present our content as your own record, or use it to sell your own picks service.
- Use GradeSlate anywhere it is unlawful for you to receive sports betting information.
We may remove content, remove members, and end access without warning where we think it is warranted.
07Our Content and Intellectual Property
The picks, the written analysis, the GradeSlate name and wordmark, and the look and feel of the site and the server are owned by Orygn LLC or used under licence. You get a personal, limited, non-transferable, revocable permission to read and use them for your own individual use. Nothing here transfers ownership.
If you post something in our server, you keep ownership of it, and you give us permission to display and moderate it inside the server as part of running the community.
08No Professional Advice, and Assumption of Risk
You are solely responsible for every bet you place. You decide whether to bet, what to bet, and how much. You accept the full risk of loss.
Past results do not predict future results. Any figure we publish about how picks have performed describes what already happened and is not a promise about what will happen next.
Betting can be addictive and can cause real financial harm. Only wager money you can afford to lose.
09Responsible Gambling
If you or someone you know has a gambling problem, help is available 24 hours a day, 7 days a week. Call or text the National Problem Gambling Helpline at 1-800-MY-RESET (1-800-697-3738), or chat at ncpgambling.org/chat.
If you have self-excluded from a sportsbook or a state gambling programme, please do not use GradeSlate. If you tell us you are self-excluded, we will remove you from the server on request and without argument.
10Third-Party Services, Books and Links
We reference prices at third-party sportsbooks and we link to third-party sites, including Discord. We do not control any of them, we are not responsible for them, and their terms and privacy policies are their own.
Prices move. A price we publish may be gone, or different, by the time you look. We are not responsible for a line moving, for a book refusing or voiding a bet, for a limit, or for anything else between you and a sportsbook.
11Availability and Changes
We do not promise that GradeSlate will be available, uninterrupted, timely, or error-free. We may change, suspend, or discontinue any part of it at any time, including the whole service.
Picks are published on our schedule and sometimes late or not at all. A pick published after an event has started is not a pick, and we try not to publish those, but you should always check the state of a game before acting on anything.
12Disclaimer of Warranties
GRADESLATE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT ANY PICK, LINE, PRICE, STATISTIC OR ANALYSIS IS ACCURATE, COMPLETE, CURRENT, OR PROFITABLE, OR THAT THE SERVICE WILL BE AVAILABLE OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THIS MAY NOT APPLY TO YOU.
13Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ORYGN LLC AND ITS OWNER, MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST WAGERS, LOST BANKROLL, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO GRADESLATE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
GRADESLATE IS PROVIDED FREE OF CHARGE, AND OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO GRADESLATE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including for fraud.
14Indemnification
You agree to indemnify and hold harmless Orygn LLC and its owner, members, officers, employees and contractors from any claim, demand, loss or expense, including reasonable legal fees, arising out of your use of GradeSlate, your bets, your breach of these Terms, or your violation of any law or the rights of anyone else.
15Dispute Resolution, Arbitration, and Class Action Waiver
Please read this section carefully. It affects how disputes between you and us are resolved, and it limits your right to go to court or take part in a class action.
Talk to us first. Before starting anything formal, email legal@gradeslate.com describing the problem and what you want. We will try to resolve it within 45 days. Most things end here.
Federal Arbitration Act. GradeSlate is offered across state lines, this agreement evidences a transaction involving interstate commerce, and the Federal Arbitration Act, 9 U.S.C. 1 et seq., governs the interpretation and enforcement of this arbitration agreement, notwithstanding the choice of law in Section 16.
Binding individual arbitration. If we cannot resolve a dispute informally, you and we agree that it will be resolved by final and binding individual arbitration, administered by a recognised arbitration provider under its consumer arbitration rules, rather than in court.
Where arbitration happens.Any hearing that requires an in-person appearance will be held in Travis County, Texas, unless the arbitration provider's rules require otherwise or the arbitrator orders a more convenient location. You may instead elect a telephonic or video hearing, or a hearing in the federal judicial district where you live, and we will not object. Nothing here overrides the arbitration provider's consumer rules on location or on who pays the fees.
Small claims. Either of us may bring an individual claim in small claims court instead, if it qualifies.
Class action waiver.Disputes will be arbitrated only on an individual basis. You and we waive any right to bring or participate in a class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims. If this waiver is found unenforceable as to a particular claim, that claim, and only that claim, goes to court.
How to opt out. You can opt out of this arbitration agreement and class action waiver within 30 days of first accepting these Terms, by emailing legal@gradeslate.com with your Discord username and a statement that you opt out of arbitration. That is the whole process. There is no form, and opting out will not affect your access to GradeSlate in any way.
If you opt out, or if this section is found unenforceable, disputes go to court under Section 16, and you and we each waive any right to a jury trial.
16Governing Law
These Terms and any dispute between you and us are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-laws rules. Subject to Section 15, the state and federal courts located in Travis County, Texas have jurisdiction, and you and we consent to that jurisdiction and venue.
Section 15 states which law governs the arbitration agreement itself.
17Changes to These Terms
We may update these Terms. When we do, we will change the "Last updated" date at the top of this page.
For material changes, we will post an announcement in the Discord server at least 30 days before the change takes effect. If you keep using GradeSlate after a change takes effect, you accept the updated Terms. If you do not agree, leave the server and stop using the service.
Changes apply only going forward. No change to these Terms will apply to any dispute or claim that arose before the change took effect, and any such dispute will be resolved under the version of these Terms in effect when it arose. Any change to Section 15 applies equally to you and to us. We commit to this so that our promise to arbitrate is a real one rather than something we could rewrite after a dispute starts.
18Suspension and Termination
You can stop at any time by leaving the Discord server. We can suspend or end your access at any time, with or without notice, including if you break these Terms or if we stop operating the service.
Sections that by their nature should survive will survive, including Sections 3, 7, 8, 12, 13, 14, 15 and 16.
19General
- Entire agreement. These Terms and our privacy policy are the whole agreement between you and us about GradeSlate, and replace anything said before.
- Severability. If any part is held unenforceable, the rest stays in force.
- No waiver. If we do not enforce something straight away, we have not given up the right to enforce it later.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- No third-party rights. These Terms do not create rights for anyone other than you and us.
- Force majeure. We are not liable for failures caused by events outside our reasonable control, including outages at Discord or at our hosting or data providers.
