Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Orygn LLC, a Texas limited liability company that operates the GradeSlate website and service ("GradeSlate," "we," "us," or "our"). They cover your use of gradeslate.com and everything we offer through it. Please read them carefully.

GradeSlate is an information and analytics service. It is not a sportsbook. We do not accept, place, or settle bets, and we do not pay out winnings. Section 3 explains this in full.

1. Agreement to These Terms

By creating an account, joining our waitlist, subscribing to a paid plan, or otherwise using GradeSlate, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use GradeSlate.

These Terms include an agreement to resolve disputes through binding individual arbitration and a waiver of class actions (Section 17). Please read that section closely; it affects your legal rights.

2. Who Can Use GradeSlate

To use GradeSlate, you must:

  • Be at least 21 years old;
  • Be located in, and using GradeSlate from, the United States;
  • Be able to form a legally binding contract with us; and
  • Not be barred from using the service under the laws of your state or any applicable law.

GradeSlate is intended for a United States audience and is not directed to people outside the United States. You are responsible for knowing and following the laws that apply where you live, including any laws about sports wagering. If sports wagering or the use of sports information services is restricted where you are, do not use GradeSlate for those purposes.

3. What GradeSlate Is -- and Is Not

GradeSlate is a subscription service that publishes a curated set of daily sports player prop selections ("picks") along with written analysis. Our picks are produced using statistical models and a research and review process we call the Scout. They reflect our opinions and analysis. They are provided for informational and entertainment purposes only.

GradeSlate is not a sportsbook or a gambling operator. We want this to be unmistakable:

  • We do not accept, place, broker, or facilitate bets or wagers of any kind.
  • We do not hold, handle, or transmit any money you use for wagering, and we do not pay out winnings.
  • We are not affiliated with, endorsed by, or acting on behalf of any sportsbook, casino, or gaming operator.
  • A subscription to GradeSlate buys you access to information and analysis. It does not buy a bet, a wager, or any gambling product.

What you do with our picks is entirely your decision and your responsibility. Any bet you place is between you and a licensed sportsbook or other operator, not GradeSlate. See Section 11 for important disclaimers about risk.

4. Your Account

You need an account to use most of GradeSlate. When you register, you agree to provide accurate information and to keep it current. You are responsible for everything that happens under your account and for keeping your password confidential.

  • One account per person. Accounts are personal to you and may not be sold, shared, or transferred.
  • Keep access private. Do not share your login, and do not let others view paid picks through your account.
  • Tell us about problems. Notify us promptly at support@gradeslate.com if you believe your account has been accessed without your permission.

We may suspend or close accounts that we reasonably believe are being shared, resold, or used in violation of these Terms.

5. Free and Pro Plans

GradeSlate offers two plans:

  • Free. A free account lets you reveal a limited number of picks each calendar month (currently five). The count resets on the first day of each month. Unused reveals do not roll over.
  • Pro. A paid Pro subscription unlocks all published picks, with no monthly reveal limit, for the price described at checkout (currently $14.99 per month).

The exact features of each plan, the number of free reveals, and the picks we publish may change over time as we develop the service. We will not reduce a benefit you have already paid for during a billing period you have already been charged for.

6. Billing, Automatic Renewal, and Cancellation

Paid subscriptions are billed through our payment processor, Stripe. By starting a Pro subscription, you authorize us and Stripe to charge your payment method on the terms below.

Automatic renewal. Pro is a monthly subscription that renews automatically. Unless you cancel:

  • Your subscription continues from one monthly term to the next with no further action by you;
  • Your payment method is charged the then-current monthly price at the start of each term;
  • Renewal continues until you cancel, on the same monthly cycle.

Cancellation. You may cancel at any time from your Account page, or by emailing support@gradeslate.com. When you cancel:

  • Your subscription stops renewing, so you will not be charged for any future term;
  • You keep Pro access until the end of the billing period you have already paid for; and
  • After that period ends, your account returns to the Free plan.

Price changes. We may change subscription prices. If we do, the change applies to your future renewals, not to a term you have already paid for, and we will give you advance notice by email before a changed price takes effect. Founding Member pricing is addressed in Section 8. If you do not agree to a new price, you may cancel before it takes effect.

Failed payments. If a renewal payment fails, we may retry the charge and may suspend or downgrade your Pro access until payment succeeds.

7. Refunds

Except where a refund is required by law, subscription payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused reveals, or picks you chose not to view.

Cancelling stops future charges and lets you keep access through the end of the period you already paid for, as described in Section 6. If you believe you were charged in error, contact support@gradeslate.com and we will review it in good faith.

8. Founding Member Pricing

From time to time we may offer a "Founding Member" rate to a limited number of early subscribers (for example, the first 50 paid subscribers). If you receive that rate:

  • Your monthly Pro price stays locked at the Founding Member rate for as long as your paid subscription remains continuously active, even if we raise the standard price for new subscribers;
  • If your subscription lapses or is cancelled for any reason, the Founding Member rate ends. If you later subscribe again, you will pay the standard price then in effect; and
  • The Founding Member rate is tied to your account and is not transferable.

If your subscription lapses because of a payment failure outside your control, you may contact support@gradeslate.com and we may, at our discretion, restore the rate. We are not obligated to do so.

9. Acceptable Use

GradeSlate and its picks are licensed to you for your own personal, non-commercial use. When you use GradeSlate, you agree not to:

  • Copy, scrape, republish, redistribute, sell, sublicense, or otherwise share our picks, analysis, or other content, whether for free or for payment;
  • Resell, rent, or provide access to your account, or use one account to supply picks to other people;
  • Use bots, scrapers, or other automated means to access or collect content from GradeSlate;
  • Reverse engineer, decompile, or attempt to derive the underlying models, data, or source code behind the service;
  • Interfere with, overload, or attempt to gain unauthorized access to GradeSlate, its accounts, or its systems;
  • Use GradeSlate to break any law, or to infringe anyone's intellectual property or other rights.

We work hard on our picks and analysis. Sharing them outside your own use is both a breach of these Terms and a misuse of our work, and it is grounds for suspending or closing your account.

10. Our Intellectual Property

GradeSlate, including the website, the picks, the written analysis, the Scout, the underlying models and data, the GradeSlate name and logo, and the look and feel of the service, is owned by Orygn LLC or its licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use GradeSlate for your own personal use. We reserve all rights not expressly granted to you. Nothing in these Terms transfers ownership of anything to you.

11. No Professional Advice; Assumption of Risk

GradeSlate's picks and analysis are opinions and information, not advice. They are not financial, investment, legal, or other professional advice, and they are not a recommendation to place any particular bet.

  • No guaranteed outcomes. We do not guarantee that any pick will be correct, profitable, or accurate. Sports outcomes are uncertain by nature.
  • Past results do not predict future results. Any past performance, record, or accuracy figure -- whether shown by us or anywhere else -- does not guarantee or indicate future performance.
  • You can lose money. Sports wagering involves real financial risk. You may lose some or all of any money you choose to wager.
  • Your decisions are your own. Any wager you place, and any money you risk, is your sole decision and your sole responsibility. You assume all risk arising from your use of GradeSlate and its picks.

12. Third-Party Information and Links

GradeSlate displays information that comes from third parties, such as betting lines, odds, sportsbook names, schedules, and player statistics. We do not control that information, and it may be delayed, incomplete, or inaccurate. Odds and lines in particular change quickly; what you see on a sportsbook may differ from what is shown on GradeSlate.

GradeSlate may also reference or link to third-party websites and services. We are not responsible for those websites or services, their content, or their practices. Using them is at your own risk and subject to their terms.

13. Service Availability and Changes

We are actively building GradeSlate. We may add, change, suspend, or remove features, plans, sports, or content at any time, and we may limit availability of the service. We do not promise that GradeSlate will be uninterrupted, error-free, or available at any particular time, and picks may be delayed or unavailable on a given day.

We may set reasonable limits on use of the service, and we may update these Terms to reflect changes to the service as described in Section 19.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, GRADESLATE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT GRADESLATE, ITS PICKS, OR ANY INFORMATION IT PROVIDES WILL BE ACCURATE, RELIABLE, COMPLETE, TIMELY, PROFITABLE, OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ORYGN LLC AND ITS OWNER, MEMBERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOST WAGERS, GAMBLING OR BETTING LOSSES, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) GRADESLATE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO GRADESLATE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Orygn LLC and its owner, members, and contractors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your misuse of GradeSlate, your violation of these Terms, your violation of any law, or your infringement of anyone's rights.

17. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects how disputes with us are resolved and limits your rights.

Informal resolution first. If you have a dispute with us, you agree to first contact us at legal@gradeslate.com and give us 30 days to try to resolve it informally. Most concerns can be settled this way.

Binding arbitration. If we cannot resolve a dispute informally, you and we agree that the dispute will be resolved by final and binding individual arbitration, administered by a recognized arbitration provider under its consumer arbitration rules, rather than in court. The arbitration will take place in Travis County, Texas, or be conducted remotely, and may be decided based on written submissions where the rules allow. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. You and we agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Small claims and equitable relief. Either party may instead bring an individual claim in small claims court if it qualifies. And either party may seek injunctive or other equitable relief in court to protect its intellectual property or stop misuse of the service.

Your right to opt out. You may opt out of this arbitration and class action waiver section by emailing legal@gradeslate.com within 30 days of first accepting these Terms, with your name and the email on your account and a clear statement that you opt out of arbitration. Opting out will not affect any other part of these Terms.

Jury trial waiver. To the extent a dispute proceeds in court rather than arbitration, you and we waive any right to a jury trial.

18. Governing Law

These Terms and any dispute between you and us are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to the arbitration agreement in Section 17, any dispute that proceeds in court will be brought exclusively in the state or federal courts located in Travis County, Texas, and you and we consent to the jurisdiction of those courts.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page, and for material changes we will provide reasonable notice (for example, by email or a notice on the site). Changes take effect when posted unless we say otherwise. If you keep using GradeSlate after a change takes effect, you accept the updated Terms. If you do not agree, stop using GradeSlate and, if you have a paid plan, cancel it.

20. Suspension and Termination

You may stop using GradeSlate at any time and may close your account by contacting support@gradeslate.com. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, misused the service, or created risk or legal exposure for us or others.

If your account is terminated, your right to use GradeSlate ends. Sections that by their nature should survive termination -- including Sections 9 through 18 and 21 -- will survive.

21. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about GradeSlate and replace any prior agreements on that subject.
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them, for example in connection with a merger, acquisition, or sale of assets.
  • No third-party rights. These Terms do not create any rights for anyone other than you and us.
